British AI neocloud Nscale — a cloud provider that specializes in renting out AI computing capacity — has secured $3.36 billion in financing ahead of its planned initial public offering later this year, the company announced Friday. The round is structured as a convertible note, underscoring the scale of capital now required to build out AI data centers.

The financing is led by hedge fund Third Point and includes $2.36 billion available to Nscale immediately, plus an additional $1 billion coming from existing investor Nvidia, which the company expects to receive in mid-November. The notes will convert into equity shares once the IPO is completed.

Nscale filed its IPO paperwork last week and is expected to be valued at $35 billion on the New York Stock Exchange, the Financial Times reported; the company is seeking to raise $3 billion in the offering, according to Bloomberg.

Nscale was spun out of Australian cryptocurrency mining company Arkon Energy two years ago and has since amassed more than $103 billion worth of contracts, according to its IPO filing. The company is currently developing several large data center campuses, including in Norway and West Virginia.

Why it matters

The size of Nscale’s pre-IPO raise, and Nvidia’s continued financial backing, shows how much capital AI-infrastructure providers now need to line up before they can even reach public markets — a bar likely to keep rising as data center buildouts scale up.
