Paramount has acquired Warner Bros. Discovery for an estimated $110 billion and plans to merge Paramount+ and HBO Max into a single streaming platform.
Following the withdrawal of Netflix’s bid to acquire Warner Bros. Discovery, Paramount Skydance purchased the company. On Monday, Paramount CEO David Ellison announced that the company plans to merge Paramount+ and HBO Max into a single, unified platform. The acquisition is estimated at $110 billion. The transaction represents a major consolidation in the streaming sector, mirroring similar moves in Hollywood such as the integration of Disney+ and Hulu. The merger is expected to upend the Hollywood landscape, bringing a vast array of film, television, and news assets under a single corporate entity.
The combined streaming service is positioned to become a major competitor, with a projected subscriber base of over 200 million. Ellison sought to reassure the industry that HBO’s creative identity and vision would remain unchanged, stating, “Our viewpoint is HBO should stay HBO.” To support theatrical distribution, the company committed to a slate of 15 films per year, per studio, ensuring at least 30 annual theatrical releases. Ellison highlighted the strength of the combined portfolio, noting that the company will house franchises ranging from Harry Potter and Game of Thrones to Top Gun and Yellowstone. He added that they intend to invest in the creative engines of both studios to make them highly attractive destinations for creative talent.
However, the transaction faces immediate regulatory and industry headwinds. The merger also invites close scrutiny from the U.S. Department of Justice (the US antitrust regulator) over concerns about media concentration and market competition. Additionally, last week, California Attorney General Rob Bonta (the state’s top law enforcement official) vowed to rigorously review the acquisition. Beyond regulatory hurdles, industry observers report that the merger is likely to result in significant job cuts. Editorial independence has also come under scrutiny, particularly regarding the Ellison family’s political connections to Donald Trump and the increasing scrutiny of newsrooms at CBS and CNN.
Ellison remains confident that the deal will proceed, describing the merger as pro-competition, pro-consumer, and supportive of the creative community. He emphasized that the transaction will build a stronger production ecosystem both in Hollywood and globally, expanding choice for consumers and unlocking new opportunities for talent.
